Terms of Service
Effective May 15, 2026
These Terms of Service (“Terms”) govern your use of Vaultledge (“VaultLedge,” “we,” “us”) and the bookkeeping, payroll, invoicing, and tax-filing services available at vaultledge.com(the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into a binding contract.
- The Service is intended for businesses, accounting professionals, and individuals performing business bookkeeping. Personal-finance use is not supported.
- You are responsible for the security of your account credentials, for all activity under your account, and for keeping your contact email current.
- One account per person. Sharing a single account across multiple individuals is prohibited; invite team members through the permissions system instead.
2. Subscriptions, trials, and billing
- Paid plans are billed monthly in advance through Stripe. Prices are listed on our pricing page.
- The Accountant plan offers a 30-day free trial for new accounts. A valid payment method is collected at trial start. If you do not cancel before the trial ends, you will be charged the then-current Accountant rate.
- You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you will retain access until then. We do not issue pro-rata refunds for the remainder of a paid period, except where required by law.
- If a payment fails, your subscription will be marked past-due. You will have a grace period to update your card before the subscription is canceled and your plan downgrades to Free.
- We may change pricing on a going-forward basis with at least 30 days’ notice. Continued use after the effective date constitutes acceptance.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or abusive purpose;
- Misuse AI categorization, document analysis, or other AI features to attempt to extract model weights, reverse-engineer prompts, or generate harmful content;
- Upload viruses, malware, or files containing personal data of third parties without a lawful basis;
- Probe, scan, or test the vulnerability of the Service, or interfere with its operation, except through our security disclosure process (security@vaultledge.com);
- Resell, sublicense, or white-label the Service without a written agreement;
- Use the Service to provide bookkeeping or payroll services to third-party clients unless you are on the Accountant plan, which authorizes that use.
4. Your data and your responsibilities
- You retain ownership of all records you upload or generate within VaultLedge. We use them only to provide the Service to you, as described in our Privacy Policy.
- VaultLedge produces calculations and prepares tax filings based on the data and configuration you provide. You are responsible for verifying every figure, filing timely returns, and remitting taxes due. VaultLedge is software, not a tax preparer, CPA, or registered agent.
- You are responsible for backing up data critical to your business. We provide a one-click JSON export from Settings; using it regularly is recommended.
5. Third-party services
The Service integrates with third-party providers including Plaid (bank aggregation), Stripe (payments), Anthropic (AI), Resend (email), and Sentry (observability). Your use of those features is also governed by the respective providers’ terms. VaultLedge is not responsible for outages, errors, or limitations in those third-party services.
6. Intellectual property
The Service, its source code, designs, trademarks, and documentation are owned by VaultLedge and protected by applicable intellectual-property law. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Feedback you provide may be used by us without restriction or compensation.
7. Service availability and changes
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. We may add, modify, or remove features at any time. Material reductions in functionality on paid plans will be announced at least 14 days in advance.
8. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that calculations or generated filings are free of errors, and you are responsible for review and submission to the relevant authorities.
9. Limitation of liability
To the maximum extent permitted by law, VaultLedge and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our aggregate liability for any claim arising from these Terms or your use of the Service is limited to the greater of (a) the fees you paid to VaultLedge in the 12 months before the claim, or (b) US $100.
10. Indemnification
You agree to defend, indemnify, and hold VaultLedge harmless from any claim, damages, or expenses (including reasonable attorneys’ fees) arising from (a) your violation of these Terms, (b) your use of the Service, or (c) your violation of any law or third-party right.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, if continued use creates a security or compliance risk, or if your subscription remains past-due beyond the grace period. Sections that by their nature should survive termination (data ownership, disclaimers, limitations of liability, indemnification, dispute resolution) will survive.
12. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
